Day one of the deal is a celebration. Champagne flows. Press releases are issued. Shareholders applaud. The CEO appears on the cover of the business press. Everyone feels optimistic.
Financial due diligence is rigorous. Lawyers pore over contracts. Accountants scrutinise every line item. Consultants validate every assumption. By the time the deal is signed, the acquirer knows more about the target’s financial position than the target’s own CFO.
The CEO who led the acquisition is brilliant, decisive and ambitious. They identified the opportunity, negotiated the deal, navigated regulatory approval and secured the board’s support. But the leadership qualities that made the acquisition possible may now become the greatest threat to its value.
